Welcome to AI Visual Studio ("AI Visual Studio," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our AI image and video generation services, including our website, applications, and related services (collectively, the "Services").

Important: By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

1. Acceptance of Terms

By accessing or using our Services, you:

  • Confirm that you are at least 16 years old (or the age of majority in your jurisdiction)
  • Agree to be bound by these Terms and our Privacy Policy
  • Represent that you have the authority to enter into these Terms
  • Acknowledge that these Terms constitute a legally binding agreement

If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration and Security

Account Creation

To access certain features, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

Account Termination

We reserve the right to:

  • Suspend or terminate your account for violation of these Terms
  • Remove or disable access to content that violates these Terms
  • Refuse service to anyone for any reason at any time

3. Service Description

AI Visual Studio provides AI-powered image and video generation services through:

  • Text-to-Image Generation: Creating images from text prompts
  • Text-to-Video Generation: Creating videos from text prompts
  • Image Editing: Inpainting, background removal, upscaling, and element addition
  • Video Editing: Enhancement, extension, trimming, and retakes
  • Multiple AI Models: Access to various AI models with different capabilities
  • API Access: Programmatic access to our generation services (subject to API Terms of Service)

We use third-party AI services (including Replicate) to process your requests. The quality, style, and characteristics of generated content may vary based on the AI model used.

API Users: If you access our services through the API or Developer Console, you are also bound by our separate API Terms of Service, which contain additional terms specific to programmatic access.

4. Acceptable Use

You agree not to use our Services to:

  • Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Create content that infringes upon intellectual property rights
  • Generate sexually explicit content involving minors
  • Create content that promotes violence, hate speech, or discrimination
  • Generate content for fraudulent or deceptive purposes
  • Impersonate any person or entity
  • Interfere with or disrupt the Services
  • Attempt to reverse engineer, decompile, or disassemble the Services
  • Use automated systems to access the Services (except through our API)
  • Violate any applicable laws or regulations

We reserve the right to review and remove any content that violates these Terms. Repeated violations may result in account termination.

5. Intellectual Property Rights

Your Content

You retain all intellectual property rights to the content you generate using our Services, subject to the following:

  • You grant us a worldwide, non-exclusive, royalty-free license to process, store, and display your content as necessary to provide the Services
  • You represent that you have all necessary rights to use any input content (prompts, images) you provide
  • You are responsible for ensuring your content does not infringe third-party rights

Our Services

All rights, title, and interest in and to the Services (excluding your content) are and will remain our exclusive property. This includes:

  • Software, code, and technology
  • Branding, logos, and trademarks
  • Documentation and materials
  • Aggregate usage data and analytics

Third-Party AI Models

The AI models used in our Services are provided by third parties and are subject to their respective terms and licenses. You are responsible for complying with any applicable model-specific terms.

6. Credits, Pricing, and Billing

Credit System

  • Credits: Our Services operate on a credit-based system
  • Consumption: Credits are consumed based on the AI model used, duration, and resolution
  • Non-Expiry: Purchased credits do not expire
  • Non-Transferable: Credits cannot be transferred between accounts
  • Non-Refundable: Credits and subscription fees are non-refundable, except as required by law

Subscription Plans

  • Free Plan: Limited credits with watermarked outputs and 7-day storage
  • Starter Plan: Monthly credits with commercial rights and 30-day storage
  • Pro Plan: Higher credit allocation with unlimited storage and priority processing
  • Auto-Renewal: Subscriptions automatically renew unless canceled
  • Cancellation: You may cancel at any time; service continues until the end of the billing period

Payment Terms

  • All prices are in EUR and exclude applicable taxes (VAT, sales tax, etc.)
  • You authorize us to charge your payment method for recurring payments
  • Failed payments may result in service suspension after 7 days
  • Invoices and receipts are available in your account dashboard
  • We reserve the right to change prices with 30 days' advance notice

Payment Processing with Stripe

We use Stripe, Inc. as our payment processor. By making a purchase, you acknowledge and agree that:

Stripe's Role:

  • Stripe processes all payment transactions on our behalf
  • Stripe stores and handles your payment card information securely
  • Stripe manages subscription billing and recurring payments
  • Stripe provides fraud detection and prevention services

Your Agreement with Stripe:

  • You must agree to Stripe's Services Agreement
  • You authorize Stripe to store your payment information for recurring payments
  • You are responsible for maintaining valid payment information in your Stripe account
  • Stripe may impose additional requirements for payment processing

Dispute Resolution: Payment disputes, chargebacks, and refund requests are handled through Stripe's payment system. While we process refund approvals, Stripe manages the actual fund transfers. Please contact [email protected] for payment issues.

Payment Security:

  • All payment data is transmitted using SSL/TLS encryption
  • We never store complete payment card information
  • Stripe maintains PCI-DSS Level 1 compliance
  • We use tokenization to reference your payment methods

Payment Limitations:

  • We are not responsible for Stripe service interruptions or failures
  • Payment processing times depend on Stripe and your financial institution
  • Stripe may decline transactions based on their fraud detection systems
  • Certain countries or payment methods may not be supported by Stripe

Refunds and Chargebacks

Our refund policy:

  • Subscription Refunds: Generally non-refundable, except where required by law or at our sole discretion for technical issues preventing service access
  • Credit Refunds: Purchased credits are non-refundable once the purchase is complete
  • Processing Time: Approved refunds are processed within 5-10 business days via Stripe
  • Chargebacks: Initiating a chargeback without contacting support may result in account suspension
  • EU Consumer Rights: EU customers have a 14-day withdrawal right for new subscriptions, subject to applicable exceptions

7. Content Storage and Deletion

Generated content is stored according to your subscription plan:

  • Free Plan: 7 days from generation date
  • Starter Plan: 30 days from generation date
  • Pro Plan: Unlimited storage while account is active

You are responsible for downloading and backing up your content. We are not liable for any loss of content due to storage limitations or account termination.

8. Service Availability and Modifications

Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. The Services may be temporarily unavailable for:

  • Scheduled maintenance
  • Emergency repairs
  • Force majeure events
  • Third-party service disruptions

Service Changes

We reserve the right to:

  • Modify, suspend, or discontinue any aspect of the Services
  • Change pricing with 30 days' notice
  • Add, remove, or modify features
  • Limit access to certain features based on subscription level

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF GENERATED CONTENT
  • CONTINUOUS OR ERROR-FREE OPERATION

AI-generated content may contain inaccuracies, biases, or unexpected results. You use the Services at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI VISUAL STUDIO SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICES
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
  • STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICES
  • ANY OTHER MATTER RELATING TO THE SERVICES

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE PAST 12 MONTHS.

11. Indemnification

You agree to indemnify, defend, and hold harmless AI Visual Studio and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your access to or use of the Services
  • Your violation of these Terms
  • Your content or any content you submit
  • Your infringement of any third-party rights
  • Any unauthorized use of your account

12. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable laws of your country of residence, without regard to conflict of law provisions.

Dispute Resolution

Any disputes that cannot be resolved amicably shall be subject to the jurisdiction of the competent courts in your country of residence, in accordance with EU consumer protection regulations.

For EU Consumers: You retain all rights under EU consumer protection law, including the right to bring proceedings in the courts of your EU member state.

Class Action Waiver

To the extent permitted by applicable law, you agree to resolve disputes on an individual basis. This waiver does not apply where prohibited by law, including EU member states that prohibit class action waivers.

13. Termination

These Terms remain in effect while you use our Services. We may terminate or suspend your access to the Services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination:

  • Your right to use the Services will immediately cease
  • You must cease all use of the Services
  • We may delete your content according to our data retention policies
  • Sections relating to intellectual property, warranties, liability, and indemnification will survive

14. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the Services or by email. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.

15. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and AI Visual Studio
  • Severability: If any provision is found invalid, the remaining provisions remain in effect
  • Waiver: Our failure to enforce any right or provision shall not constitute a waiver
  • Assignment: You may not assign these Terms without our prior written consent
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
  • Notices: Notices may be provided via email or posting on the Services
